The Ministry of Economy and Finance (MEF) approved the provisions for a new external issuance of sovereign bonds for an amount of up to 4,000 million dollars.
According to a ministerial resolution published in the official newspaper El Peruano, the amount of the external issuance of bonds that, in one or more placements, can be made by the National Government, within the framework of the approval contained in articles 6 and 8 of the Law N ° 31086, Public Sector Debt Law for Fiscal Year 2021, “is for the equivalent amount of up to 4,000 million US dollars.”
For the purposes of the external issuance of bonds, BNP Paribas Securities Corp., BofA Securities, Inc., JP Morgan Securities LLC and Morgan Stanley & Co. LLC will be hired as financial advisers and underwriters.
The amounts of the issues will be determined by directorial resolution of the General Directorate of the Public Treasury; likewise, the currency of the bonds will be determined in due course.
The resolution also details the issuance of one or more global bonds, including the reopening of existing bonds or the issuance of new references, the terms of which will be determined in due course.
Likewise, the hiring of Paul Hastings LLP, a New York State law firm as external legal advisor and Rebaza & Alcázar Abogados Sociedad Civil de Responsabilidad Limitada, a law firm of the city of Lima as local legal advisor, was approved.
The texts of the documents called “Prospectus Supplement” and “Annual Report updated under the 18-K / A format” were also approved, as well as the contracts called “Underwriting Agreement”, “Trustee, Registrar, Transfer Agent and Paying Agent” , “Luxembourg Listing Agent” and “Listing Engagement Letter” corresponding to the external issuance of the aforementioned bonds.
The amortization service, interest and other expenses caused by the bonds that are issued are taken care of by the Ministry of Economy and Finance, charged to the budgetary resources assigned to the payment of the public debt service.
