Since December 2022, the Russian authorities have been collecting “voluntarily” funds from transactions for the sale of Russian assets by companies from “unfriendly countries” to the budget. All such transactions are subject to the approval of a subcommittee (headed by the Minister of Finance) of the government commission on foreign investment. In December, the subcommittee determined several conditions that a deal must meet in order to receive approval. One of these conditions is the direction of a voluntary contribution in the amount of at least 10% of the “amount of the transaction being carried out”. A requirement was also established to sell the asset at a discount of at least 50% of the value determined in the course of an independent valuation.
In March 2023, these conditions were adjusted: now you need to pay at least 5% of the independently assessed market value of the business if the sale discount is less than 90%, and at least 10% of the market value if the discount exceeds 90%.
