The Ministry of Economy and Finance (MEF) sent an official letter to Mario Contreras Ibárcena, president of the board of directors of Petroperú, stating that will not attend the General Meeting of Shareholders (under the Universal Meeting modality) convened by the Ministry of Energy and Mines (Minem) for this Saturday, March 19where they sought full support for the current board and administration of the state oil company.
In addition, the MEF emphasizes that the provisions of article 32 of the Petroperú Bylaws are not complied with, which clarifies that the meeting is understood to be convened provided that the subscribed and paid shares with voting rights unanimously agree to hold said meeting and the points to be treated.
In that sense, the portfolio headed by Óscar Graham alleges that there has been no prior coordination or consensus on this point, and expressed its rejection that it has been included in the agenda.
“We must tell you that we consider it legally inadmissible to include as part of the agenda of a General Shareholders’ Meeting the approval of a binding action for any public entity, without taking into account their powers or the legal system that regulates them within the framework of their respective autonomy, says the part.
