The General Meeting of Shareholders of Enel Generación Perú (EGPerú) approved to merge the electricity generation operations that it maintains in our country. From now on, EGPerú will absorb Enel Green Power (EGP), Empresa de Generación Eléctrica Marcona (Egelmarsac) and Empresa de Generación Eléctrica Los Pinos (Egepisac).
The movement was known this Monday, April 24, after the publication of an important fact in the Superintendence of the Stock Market (SMV). The Italy-based firm said the agreement was adopted by Enel Generación Peru, following the agreement for the sale of assets in Peru to China’s Southern Power Grid International (CSGI) for US$2.9 billion.
It should be noted that the assets with which the Chinese transnational will be made involve the energy distribution and supply operations of Enel Distribución Perú SAA and Enel X Perú SAC, but do not involve the sale of Enel’s generation operations in Peru, matter of this report.
In October 2022, the EGPerú board agreed to organize a committee of unrelated directors that would study the merger by absorption of Enel’s power generation operations in Peru, which are part of the same economic group.
The members of said committee gave their approval and called a Shareholders’ Meeting for this Monday, April 24, a meeting in which the proposal was seconded in the midst of the sale of distribution and supply assets to China Power Grid, an operation that must go through even by the Indecopi filter and those responsible for direct outbound investments in the Asian giant.
According to the company, the objective of this merger is to improve the relationship between Enel’s assets in Peru related to hydroelectric generation, thermoelectric generation and generation with non-conventional renewable energies, as well as the incorporation of a portfolio of renewable projects.
